What Is an Offer Letter?

An offer letter is a formal written document that an employer issues to a selected candidate, outlining the terms and conditions of employment before the candidate joins. It records the agreed job title, compensation, joining date, work location, and key clauses such as notice period and confidentiality.

Under the Indian Contract Act, 1872, a signed offer letter becomes a binding contract once the candidate accepts it in writing. Courts treat it as evidence of the agreed terms if disputes arise later.

Mandatory Components of an Indian Offer Letter

A valid Indian offer letter must include these 10 elements. Missing any of them weakens the document if it is ever tested in court.

  • Company letterhead with registered address and CIN, if applicable.
  • Date of issue and a clear reference number.
  • Candidate name and address exactly as recorded in identity documents.
  • Position and department with reporting manager named.
  • Joining date and work location stated unambiguously.
  • Compensation breakdown: Basic, HRA, allowances, employer PF, ESI, and gratuity contributions.
  • Probation period with confirmation criteria.
  • Notice period for both employer and employee.
  • Confidentiality and non-compete clauses as applicable.
  • Signature blocks for both employer and candidate.

Indian Compliance Checklist for Offer Letters

Indian offer letters must reflect statutory rules across PF, ESI, TDS, Professional Tax, and state-specific labour laws. Use this checklist before issuing any offer.

  • Reference Provident Fund (PF) contribution for employees above the wage ceiling.
  • Confirm ESI coverage if gross salary is below the current ceiling.
  • State the TDS deduction method under Section 192.
  • Apply correct Professional Tax slab based on work location. Telangana, for instance, deducts Rs. 200 per month for salaries above Rs. 20,000. See the Telangana PT breakdown.
  • Mention Shops and Establishments Act registration where the workplace falls under it.
  • Add Maternity Benefit Act and POSH Act references for compliance signalling.

Offer Letter vs Appointment Letter vs Employment Contract

These three documents are often confused. Each one plays a different role at a different stage of hiring.

DocumentIssued WhenPurposeBinding?
Offer LetterBefore joiningRecords selection and offered termsBinding once signed
Appointment LetterOn joining dayConfirms appointment with final termsYes, replaces offer letter
Employment ContractOften combined with appointment letterDetailed legal contract with all clausesYes, fully enforceable

How to Write an Offer Letter in India (7 Steps)

Use this 7-step process to create a clean, defensible offer letter.

  • Step 1. Confirm the role, joining date, and CTC with the hiring manager.
  • Step 2. Open with the company letterhead and a reference number.
  • Step 3. Address the candidate formally and state the position and department.
  • Step 4. Break down compensation: Basic, HRA, allowances, employer PF, ESI, gratuity.
  • Step 5. Add probation, notice period, confidentiality, and termination clauses.
  • Step 6. Reference statutory compliance: PF, ESI, TDS, state Professional Tax.
  • Step 7. Close with signature blocks and an acceptance deadline.

Common Mistakes to Avoid in Offer Letters

  • Listing only the gross CTC without breaking down basic, HRA, and employer contributions.
  • Forgetting the joining date or making it ambiguous.
  • Skipping the notice period clause for both sides.
  • Using the same template across very different roles (sales versus engineering).
  • Missing the state Professional Tax reference when the work location is in a PT state.
  • Not specifying the acceptance deadline, which leaves the offer open indefinitely.

FAQs About Offer Letter Format in India

Is an offer letter legally binding in India?

Yes. Once a candidate accepts an offer letter in writing, it becomes a contract under the Indian Contract Act, 1872. Both parties are bound by the terms unless they mutually agree to change or withdraw them. Courts treat the signed offer letter as evidence of the agreed terms.

What is the difference between an offer letter and an appointment letter?

An offer letter is issued before joining and records the offer of employment. An appointment letter is issued on the joining day and confirms the appointment with final terms. The appointment letter usually supersedes the offer letter.

Can a company withdraw an offer letter after the candidate accepts?

Yes, but the company may be liable for damages if the withdrawal causes provable loss to the candidate. Courts have, in some cases, awarded compensation for lost income and relocation costs. Withdrawals should always be in writing with a clear reason.

Do I need a stamp or notary on an offer letter in India?

No. Offer letters do not need a notary or stamp paper to be legally valid. A signature from both parties is enough. Some companies still use stamp paper for senior executive offers, but it is not a legal requirement.

What CTC components are mandatory in an Indian offer letter?

The offer letter should break down Basic salary, House Rent Allowance (HRA), other allowances, employer Provident Fund contribution, employer ESI contribution (if applicable), and gratuity. The total should match the annual CTC quoted to the candidate.

How long is an offer letter valid in India?

The validity is whatever the offer letter states. Most Indian offers carry a 7 to 30-day acceptance deadline. If no deadline is mentioned, it stays open until the company withdraws it in writing.

Can an offer letter be issued in Hindi or a regional language?

Yes. Indian law does not mandate English for offer letters. Many government and rural employers issue offer letters in Hindi, Tamil, Telugu, or Marathi. As long as both parties understand the language and the document is signed, it is valid.

Is an e-signature valid for offer letters in India?

Yes. The Information Technology Act, 2000, recognises electronic signatures as legally valid. DocuSign, Aadhaar e-signature, and similar platforms are commonly used by Indian companies for offer letters and onboarding documents.

What happens if the joining date is delayed?

If the candidate is delayed, they should inform the company in writing and request a revised joining date. If the company is delayed, they should issue a written extension. Either side delaying without notice can be treated as a breach of the offer.

Can I revoke an accepted offer letter?

Yes. Either side can revoke before the joining date by giving written notice. However, if revocation causes financial loss to the other side (relocation, notice period at the current employer), the affected party may claim damages. Always revoke in writing with a clear reason.
